The Terms and Conditions of The Freight Broker
These Terms & Conditions shall apply as an integral part of the Fright Broker Contract “Customer set up document”, to which the Shipper and Recipient are subject automatically.
Entry into the Freight Broker Contract, or availing of any Freight Broker service in any way, is hereby considered as a legally binding implicit consent to abide by these Terms & Conditions:
1-Definitions:
Freight Broker Contract: The Customer Set up document by which the Shipper appoints “NAQEL Company” as Freight Broker and grants it the authority to make shipping arrangements,
select and appoint Carriers / shipping service providers, and conclude Shipping Contracts with them for and on behalf of the Shipper.
Shipping Contract: The contract concluded between the carrier and the Freight
Broker or whoever is on behalf of either of them and stipulates the conditions under which the goods are transported in return for a fee.
Freight Broker: NAQEL Company – in its capacity as institution that obtained a license from the competent regulatory authorities to practice the activity, and which is contracted with the carrier
in its own name or whomever it delegates to transport goods from the sender to the addressee.
Beneficiary: The shipper or the recipient of the contract with the Freight Broker by means of transporting the goods.
Shipper : Who sends the goods, whether he is the owner of the goods or authorized by him.
The Carrier: The licensed person who carries out the transportation process by his own means of transportation himself or his representative and bears the responsibility of the shipping contract.
Freight chargers: The financial consideration paid by the sender or consignee for executing the shipping contract.
2- Freight Broker responsibilities:
• The Freight Broker's responsibility for the goods begins with his receipt of them, and such responsibility shall transfer into the Carrier immediately upon possession, and ends with handling it to the consignee based on proof of delivery.
• The Freight Broker's responsibility is limited only in the event of participates directly in the transportation process with a third "carrier," in the fault that results in loss, damage, or delay in delivering the goods. The Freight Broker is only responsible to the extent of its fault only, if any.
• The Freight Broker shall be considered as liable for the goods –Based on the agreed upon- only to the extent stipulated in the Freight Forwarder Activity Regulations issued by the Transport General Authority in the Kingdom of Saudi Arabia, and any other cases of responsibility that are not stated in that regulation shall not be considered.
• The parties agreed that if the Shipper or the consignee receives the goods –Based on the agreed upon- and does not object to those goods within (3) three calendar days from the date of receipt, which shall be considered an acknowledgment of the waiver of the Freight Broker’s responsibility and acceptance of the goods in their received condition.
3-Freight brokers obligations:
• Execute the Shipping Contract with licensed carrier to transport goods belonging to or owned by the shipper.
• Receive the goods - by itself or through the contracted carrier - at the time mutually agreed upon through the email or any way that may agree upon.
• Pursuit in ensure that the carrier commences the transportation process on the date agreed upon or expected with the shipper.
• Exercised due diligence in taking measures to ensure the carrier’s efficiency to complete the transport process in an optimal manner.
• Notify the Second Party of the loss or damage of any goods belonging to or owned by the First Party, within (14) days of receiving such goods.
4-Shipper obligations:
• Be an owner or authorized agent of the goods - the subject matter hereof - or to be authorized to transport the same by another party, and shall solely assume such responsibility.
• Provide the Freight broker with all shipping and transportation requirements, provide all the information or data requested by the Freight broker, and disclose the goods contents accurately and in detail to the Freight broker.
• Prepare the goods –Based on agreed upon- for transportation in an optimal manner and inform if the goods require a special method of transportation or if they are perishable.
• Ensure that shipper or the party to whom the goods are consigned – Based on agreed upon - receives the same at the predetermined date and place and that it signs the proof of receiving such goods.
• Ensure that the goods - the subject matter hereof - are not prohibited to be transported or circulated pursuant to the Saudi laws and regulations or pursuant to the laws and regulations of the country of consignment and the deliveries country.
• Pay the freight fees specified in the quotation approved, in addition to all fees and taxes imposed by any government on the transportation process, Or any costs incurred by the freight broker with the carrier to carry out the agreed upon shipping process.
5-Permissibility of not accepting the transportation of specific goods:
The Freight broker have the right refuse to transport any of the goods provided by the Shipper, whether after or before agreeing on the prices, in the event that such goods are prohibited by any of the Saudi laws and regulations or those of the country of consignment, if the First Party's policy prevents dealing with such goods, if such goods require special handling that the carrier appointed by the Freight broker failed to do, or for any other reasons deemed by the Fright broker, The expenses shall be bearded by the fright broker.
6-Insurance:
• Freight broker prices do not include insurance for the goods against lost, damage, delay. The Freight Broker may, upon written request of the shipper, arrange cargo insurance as required by the shipper, on behalf and at the expense of the shipper. If Shipper elects the option of not to have insurance over the Goods, he shall bear all risks and consequences of such option.
• Any claims to be made by the shipper under the agreed terms & conditions should be done within 5 days of the cargo being delivered or other services being provided.
• The freight broker may not accept any insurance compensation claims if the shipper did not follow the established claim procedure.
• Claims of the shipper will be reviewed only after the freight broker’s claims for charges have been fully satisfied.
• The fright broker will be relieved of any liability if no claims are brought to the freight broker within the mentioned timeframe following the delivery of service.
• The role of the Freight Broker is limited to receiving the claims and coordinating with the insurance company over the same, without assuming any responsibility for any discretions or procedures of the insurance company, or the degree of its coverage of the claim.
7- Non-receipt of Goods:
• The freight broker specifies the date and place of delivery of the goods - the subject of the Contract - in the price quote submitted to the sender.
• The sender guarantees his commitment or the commitment of the recipient party to the pre-determined date and place of delivery.
• In the event that the sender or consignee does not receive the goods at the predetermined date and place and does not present to the freight broker to receive them within (14) fourteen days of the predetermined date, the freight broker has the right to dispose of those goods in accordance with what is stipulated in the regulations governing the activity of the freight broker issued by General Authority of Transport in the Kingdom of Saudi Arabia.
• If the shipper or the consignee does not receive the goods at the previously specified date and place, the shipper shall bear the value of storing the goods within the fourteen days referred to in Paragraph (3) of this article.
8- General terms:
• The value of each shipping request is agreed upon according to an independent price quote submitted by the freight broker to the sender via the email recorded in the signed “Customer Set Up Document” agreement, and is approved via the email recorded therein.
• The freight broker has the right to carry out the business and transport the goods in the manner deems appropriate without referring to the shipper and obtaining its approval, provided that this is compatible with the rules and regulations.
• All prices provided by the freight broker under the quotation shall be based on the actual weight of the goods whether provided by the shipper or determined in the future by the carrier during the actual measuring procedures. As the final weight provided by the carrier shall be considered in the event of discrepancy.
